Job description and summary

Our team helps organizations rethink their approach to risk and compliance to drive strategy, capabilities, and performance. As part of the team, you will develop integrated risk strategies and frameworks across all landscapes to help our clients navigate new and evolving laws and regulations and complex industry-specific compliance requirements.

Job skills needed for this role include the following.

Corporate Governance:

Designing and developing corporate governance frameworks and designing governance operating models
Conducting governance gap assessments and maturity analysis
Familiarity with the main rules of corporate governance (local, regional and international).
Awareness of best practices across all major dimensions of corporate governance – eg board structure and operations, strategy and planning, risk management and compliance, transparency and disclosure, corporate governance policies (eg, codes of conduct, business ethics, RPTs, whistleblowers, etc.). )
Designing and developing charters for the board of directors and committees
Governance Gap Analysis and Maturity Assessments
Awareness of sub-governance and basic concepts
– Conducting governance audits
High level of awareness of relevant automation solutions (Board Governance, GRC solutions)

Operational/Organizational Governance:

Experience in designing business operating models, including organizational structuring
Design and develop delegation of authority across core functional areas such as Governance, Corporate Affairs, Human Resources, Finance, IT, Procurement, Law, Compliance, etc.
Develop organizational structure and understand organizational design models
Knowledge and understanding of performance management
Working knowledge of basic concepts around risk management and compliance (two essential components of a comprehensive governance experience).

Family Governance:

Experience working with family businesses in the Middle East
Understand the dynamics of family businesses including the range of challenges faced in ensuring a smooth transition from generation to generation
Knowledge and understanding of how the family constitution is developed, including the main topics that are usually covered
A high level of awareness of the legal aspects related to family constitutions and how the relevant provisions can be made enforceable.

Candidate profile

5 to 8 years of experience including 2+ years of experience in Big 4 Consulting or a recognized consulting firm
Extensive sector/industry experience We need people who are able to apply their job skills across a wide range of industry sectors. Industry professionals are not necessarily an advantage.
Ability to think and act independently, but at the same time work as a team, by ensuring that reports and line supervisors are communicated and kept informed.
Strong report writing and workshop/presentation skills – Equally strong in both areas but not one or the other.
Understanding of project management and economics
We need candidates with elegance, confidence and empathy. This is especially true for candidates who will be exposed to family governance as we deal with clients at the ownership level including presidents and board members of some of the largest and most reputable family businesses in the Middle East.
